These terms are draft text written for the design prototype. They have not been reviewed by qualified counsel, are not binding on anyone, and must not be published in this form.
The agreement
These Terms of Service govern your use of this website and any order you place through it. By browsing the site, creating an account, or placing an order, you accept these terms. If you do not accept them, do not use the site.
These terms incorporate the Research Use Only Policy, the Shipping & Returns policy, and the Privacy Policy by reference. Where the Research Use Only Policy conflicts with anything here, that policy governs.
"Atlas Labs", "we", and "us" mean the operating entity behind this site (PLACEHOLDER — entity name and registered address to be inserted). "You" means the individual placing the order and, where the order is placed for an institution, that institution.
Research-use restriction
Everything sold on this site is supplied strictly for laboratory research use only. It is not for human or veterinary use, and may not be ingested, injected, or applied in any form to a person or an animal.
You must confirm the research-use attestation before checkout will unlock. That confirmation is a representation you make to us and is recorded against your order. The full restriction, including who may purchase and what is prohibited, is set out in the Research Use Only Policy, which forms part of these terms.
Eligibility and accounts
You must be at least 18 years old (or the age of majority where you live, if higher) and be a qualified researcher or acting for a research institution. You must have authority to bind any institution named on an order.
- Account details must be accurate and kept current. We may refuse or close an account with inaccurate details.
- You are responsible for activity under your account, including orders placed by anyone you give access to.
- Sign-in is by one-time code to the email on the account. Keep access to that mailbox secure and tell us promptly if it is compromised.
- We may require verification of institutional affiliation or laboratory address before releasing an order.
Orders and acceptance
A listing on this site is an invitation to order, not an offer. Your order is an offer to buy. A contract forms only when we confirm dispatch of the item concerned — an order confirmation email is an acknowledgement of receipt, not an acceptance.
We may refuse, limit, or cancel any order at any time, including where an item is out of stock, where a price or description was published in error, where verification fails, or where we believe the order is intended for a prohibited use. Where we cancel before dispatch we release payment back to the original payment method and have no further liability.
Pricing and payment
Prices are shown in US dollars and exclude shipping and any tax or duty, which are calculated at checkout or, for international orders, charged by the destination country. All prices, purities, lots, and figures currently shown on this site are placeholders.
- Payment is taken at checkout through our payment processor. We do not receive or store full card details.
- Approved laboratories and institutions may be offered purchase-order terms — see Volume Pricing. Invoices are payable per the terms on the invoice, and we may suspend supply on an overdue account.
- Obvious pricing errors are not binding on us; if we discover one after you order, we will tell you and give you the choice of confirming at the corrected price or cancelling for a full release of payment.
- Membership and subscription pricing is governed by the terms shown at sign-up on the Membership page.
Delivery, title, and risk
Dispatch windows, cold-pack handling, tracking, and delivery estimates are set out in Shipping & Returns. Delivery estimates are carrier estimates and are not guaranteed; time is not of the essence.
Title and risk in the goods pass to you on delivery to the address on the order. Where a shipment is lost or damaged in transit we reship at no cost under the shipping policy rather than leaving you to claim against the carrier.
For international orders you are the importer of record and are responsible for import compliance, duties, and taxes.
Returns and the QC guarantee
Research materials are generally non-returnable once shipped, because storage conditions after dispatch cannot be verified. The exceptions — failed incoming QC, transit damage or loss, an item shipped in error, and cancellation before dispatch — are set out in full in Shipping & Returns.
Our QC guarantee is that if a batch fails your incoming QC against the specification on its certificate, you may choose a reship or a refund of what you paid for the affected units. That is the entire remedy under the guarantee, and it does not extend to any other loss.
Product information
Product descriptions, molecular data, literature references, and research summaries on this site are provided for reference by qualified researchers. They describe what a compound is and how a lot was tested. They are not instructions, not protocols, and not claims about any effect in a living organism.
Nothing on this site has been evaluated by the U.S. Food and Drug Administration and nothing here is intended to diagnose, treat, cure, or prevent any disease. Literature we link to is the work of its authors and its presence on this site is not an endorsement or an extrapolation to any use.
Certificates of analysis describe the lot they name, at the time of test, under the method stated. Vial images are illustrative. Colours, packaging, and label design may change between lots.
Intellectual property
The Atlas Labs name, logo, site design, copy, photography, illustrations, and certificate layouts are owned by Atlas Labs or its licensors. You may view and print pages for your own internal research records. You may not copy, republish, scrape, or use them commercially without written permission.
Certificates of analysis may be reproduced in full, unaltered, for your own quality records and for regulatory or institutional audit.
Acceptable use of the site
- Do not attempt to gain unauthorised access to any account, system, or data.
- Do not scrape, crawl at volume, or bulk-extract catalogue, lot, or certificate data.
- Do not interfere with the operation of the site or introduce malicious code.
- Do not misrepresent your identity, institution, or intended use.
- Do not use the site in any way that breaks the law where you are.
Disclaimer of warranties
Except for the express QC guarantee above, and to the fullest extent the law allows, the site and everything supplied through it are provided "as is" and "as available" without warranty of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the site will be uninterrupted or error-free, that a given material is suitable for your particular experiment, or that its use is lawful in your jurisdiction. Determining suitability and lawfulness is your responsibility.
Limitation of liability
To the fullest extent the law allows, Atlas Labs is not liable for indirect, incidental, special, consequential, or punitive loss, or for lost profits, lost data, lost research time, or the cost of substitute goods, however caused.
Our total aggregate liability arising out of or relating to an order is limited to the amount you paid for the specific goods giving rise to the claim.
Atlas Labs accepts no liability whatsoever for misuse, mishandling, or unlawful application of any product sold, including any use on a person or an animal. That risk sits entirely with the purchaser.
Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, or for fraud.
Indemnification
You agree to indemnify and hold harmless Atlas Labs, its officers, employees, and suppliers against any claim, loss, liability, or cost, including reasonable legal fees, arising from your breach of these terms or of the Research Use Only Policy, from your use, storage, transfer, or disposal of material supplied to you, or from any use of that material on a person or an animal.
Suspension and termination
We may suspend or close an account, refuse future orders, and withdraw access to the site at any time where we believe these terms or the Research Use Only Policy have been breached, or where we are required to by law. Sections 8 to 13 survive termination.
Governing law
These terms are governed by the laws of PLACEHOLDER (state and country to be confirmed with the operating entity), without regard to conflict-of-law rules. The courts of PLACEHOLDER have exclusive jurisdiction over any dispute.
Whether to include an arbitration agreement, a class-action waiver, and an informal dispute-resolution step is a decision for counsel. This draft deliberately does not assume one.
Changes to these terms
We may update these terms. The "last updated" date at the top of this page changes when we do, and the version in force when you place an order is the version that governs that order. Material changes will be notified to account holders by email.
